By-Laws Kingston Woodturners

ARTICLE I – ORGANIZERS AND LOCATION

ARTICLE II – OFFICES

The principle meeting place of the Kingston Woodturners will be located at F¬rontenac Secondary School¬, 789 Bath Rd, Kingston.
New and additional venues will be announced at meetings and on the website from time to time.

ARTICLE III – RELATION OF CHAPTER TO THE CORPORATE ORGANIZATION

All Officers and Directors of Kingston Woodturners agree to be members in good standing of the American Association of Woodturners, Inc.
While it is understood that the parent organization will provide advice and counsel, as requested, Local Chapters are advised that the nature and extent of their activities are left to their discretion.  Demonstrations, while probably part of the normal activities of Local Chapters, are to be conducted solely at the discretion of Local Officers, and all safety and instruction is to be under their explicit direction and control.
The national office strongly recommends placing some sort of sign or notice on or around any lathe used for demonstration; that safety eye protection must be worn and a full face shield when needed.  Use a dust mask and wear hearing protection.  The lathe is a potentially dangerous instrument only to be used with Chapter approved supervision.

ARTICLE IV – PURPOSES

In addition to supporting the general purposes of the parent organization the Kingston Woodturners purposes are:
1.    To provide a meeting place for local woodturners
2.    To share ideas and techniques regarding this craft;
3.    To trade woods and other material related to the craft;
4.    To exchange ideas about tools;
5.    To promote and educate the general public about woodturning
6.    To promote woodturning education in local schools.

ARTICLE V - MEMBERSHIP

Add the following lines
1.     Membership is open to any person with an interest in wood turning who has paid the annual membership fee.
2.    Only paid up members are qualified to vote at meetings called for that purpose
3.    Annual membership fee for Kingston Woodturners is $25.

ARTICLE VI - MEETINGS


1.    Meetings are held to conduct the business and purposes of the club
2.    Monthly meetings will normally take place at the principal meeting place (Frontenac High School, 789 Bath Road, Kingston, Ontario ) on the last Wednesday of the month, from 7:00 to 10:00 p.m. unless otherwise indicated.
3.    Additional meetings to further promote the purposes of the Club may be called by the Club executive from time to time upon suitable advance notification
4.    The principle meeting place is  the wood shop at Frontenac Secondary School, 789 Bath Road, Kingston
5.    Notice will be emailed to members seven days before the scheduled meeting

ARTICLE VII – OFFICERS


A.    Number and Election. The Officers of Kingston Woodturners shall be a President, a Vice President, and a Secretary-Treasurer. These officers shall be elected annually by a majority vote of the Chapter’s paid-up members.  Other Officers and Assistant Officers as deemed necessary may be elected by the Chapter members or appointed by the elected Officers.

B.     Term of Office.  Each Officer shall hold office for one year.

C.      Removal. Any Officer elected or appointed may be removed when it is deemed that the best interests of the Chapter would be served by such removal. This would be accomplished by a majority vote of the Chapter’s members who are present at the time of the vote, so long as at least 50% of the paid-up members are present.

D.    Vacancies. A vacancy in any Office because of death, resignation, removal, disqualification, or otherwise may be filled by a majority vote of the members OR of the Officers for the unexpired portion of the term.

E.   Duties.
1.   President.  The President shall be the principal executive officer of the Chapter.

His/Her duties include:
a.    Supervise and control all of the business and affairs of the Chapter
b.    Conduct Chapter meetings;
c.      Notify members of meetings:

2.  Vice President. In the absence of the President or in the event of his/her death, inability, or refusal to act, the Vice President shall perform the duties of President, and when so acting, shall have all the powers of and be subject to all the restrictions upon the President. The Vice President shall perform such other duties as from time to time may be assigned to him/her by the President.

3.    Secretary-treasurer The Secretary-treasurer shall
a.    keep the minutes of the Kingston Woodturners meetings in one or more books provided for that purpose and see that all notices are duly given in accordance with the provisions of these By-Laws.
b.    In general, the Secretary-treasurer shall perform all duties incident to the office of Secretary-treasurer and such other duties as from time to time may be assigned to him/her by the President.
c.    Secretary-treasurer shall collect all membership fees and all other monies belonging to the Kingston Woodturners.
d.    He/She will be responsible for keeping current and accurate records of all monies that flow through the Kingston Woodturners and also for ensuring that all the Kingston Woodturners’ officers are current paid-up members of the national organization.
e.    In general, the Secretary-treasurer shall perform all of the duties incident to the office of Secretary-treasurer and such other duties as from time to time may be assigned to him/her by the President.

ARTICLE VIII – ASSETS, OWNERSHIP AND INDEBTEDNESS

1.    AAW’s national office MUST be notified in writing PRIOR to a Local Chapter incurring any indebtedness for AAW.
2.    Club executive will file an annual report prior to elections at the annual meeting held for that purpose.
3.    Fixed assets will be listed.
4.    The treasurer will list financial assets and accounts.

ARTICLE IX – DISSOLUTION OF THE KINGSTON WOODTURNERS (KWT).

1.    The club may be dissolved upon a majority vote of the paid up members at a meeting called for that purpose.
2.    Outstanding KWT debt must be paid from remaining financial assets and or sale of fixed assets.
3.    Upon dissolution of KWT all fixed assets will be auctioned to paid up members and remaining financial assets distributed evenly to KWT members.

ARTICLE X – AMENDMENTS


These By-Laws may be altered, amended, or repealed and new By-Laws may be adopted by a vote of a simple majority of the qualified voting members of the Chapter then casting ballots.  Copies of all modifications to these By-Laws MUST be filed with the national office of AAW.

ARTICLE XI – AMERICAN ASSOCIATION OF WOODTURNER’S DISCLAIMERS: FISCAL AND LEGAL


The corporation, the American Association of Woodturners, Inc., specifically disassociates itself from any debts, obligations or encumbrances of the Local Chapter. The Corporate Board of Directors of AAW is not responsible for the debts nor shares in the profits of the Local Chapters. The Corporate Organization does not shoulder any legal liability for accidents that occur during events of any kind sponsored or not sponsored by a Local Chapter. The Kingston Woodturners specifically disassociates itself from any debts, obligations or encumbrances of the American Association of Woodturners. The Board of Directors of the Kingston Woodturners is not responsible for the debts nor shares in the profits of the American Association of Woodturners. The Kingston Woodturners does not shoulder any legal liability for accidents that occur during events of any kind sponsored or not sponsored by the American Association of Woodturners.

Upcoming Demos


The Kingston Woodturners will be demonstrating woodturning at the MacLachlan Woodworking Museum In the summer months of July and August.

Here are the dates: July 4, 18. (Note that Lance will be demonstrating on the 18th!) August 1, 6,7,8 - Sheepdog Trials, Aug 15, and 29. The Sunday demonstrations will be held from 1 pm to 3 pm. During the Sheepdog Trials demos will be ongoing all day of the fair.

No regular meetings at the school in July and August.

Check with Nelson about "Learn and Turn" events at his home based shop on Thursday afternoons throughout the summer too.
